Château Cyprès (Operation's code name) is a wine estate of less than 10 hectares of vines in Puisseguin Saint-Emilion AOP.
The soil is clayey, favourable to the cultivation of Merlot, conducive to the production of structured wines with coated tannins.
The vineyard can be considered as being in one piece, the vines are in very good condition. This is a hillside vineyard, with a slight slope that favours soil drainage.
This estate had positioned itself as one of the leaders of its appellation over the decade 2000, before abandoning the production of bottles (to produce only grapes).
Château Cyprès has a house and technical infrastructures with an old concrete vat cellar. The whole assets allows to relaunch the production of wine in bottles and to develop a marketing, in a sought-after appellation, satellite of Saint-Emilion.
Proposed operation and procedure:1. Legal structureThe proposed transaction is an assets deal.
2. Scope of disposalThe proposed operation relates only to following assets :
- a small house to refresh (about 100 m2)
- technical buildings (cellars...)
- about ten hectares of vines
There are no business transfers. No customer and no stock will be transmitted (Except perhaps with the exception of the 2018 harvest). There is no balance sheet for this structure.
3. ProcedureThe purpose of this note is the summary and anonymous presentation of Château Cyprès. Potential purchasers who wish to obtain further information may, after signing confidentiality agreements, be addressees of an Information Memorandum presenting the entire transaction.
The Information Memorandum should enable these potential buyers to confirm their interest with a view to formulating an indicative valuation on the basis of which they would consider a financial transaction on the assets corresponding to Château Cyprès.
